As part of our new investment opportunity, investors will be able to finance the construction of a shopping center in Tallinn, Laagri on Instituudi tee 132 property. Total loan amount is up to EUR 1. 3 million and it will be funded through 3 rounds. The amount to be raised in current third and the last round is EUR 350,000. The loan is secured by a second-rank mortgage on Instituudi tee 132 property. Interest rate of the loan is 11. 2% on an annual basis and it is paid in a lump sum at the end of the loan period or when the property will be sold. Loan period is up to 9 months. IMPORTANT: The construction loan is secured by a 2nd rank mortgage and after the existing mortgage is removed, the Crowdestate investors' loan will be secured by a 1st rank mortgage on Institute tee 132 (see Project Description section).  Based on Rimi’s request for preliminary legal protection the court has issued an injunction to suspend delivery of possession of leased premises at Instituudi tee 132 to Coop. Initially, the delivery of possession was planned to be completed in November 2019 and the shopping centre was planned to be opened on 15 December 2019. The Sponsor now aims to open the centre in March 2020. The Sponsor will file for the damages caused by the delay in the delivery of the premises. Crowdestate investors contributed equity investment in the same project in October 2018. The sponsor will build a 2,408 m2 shopping center for a leading retail chain Coop. The total space leased by the anchor tenant is 1,260 m2. The construction loan borrowed from Crowdestate investors and interest will be repaid by selling the income generating property to a financial investor. Construction loan and accrued interest will be repaid first. After that, equity investors' investment, preferred interest and profit share. The shopping center is being built by Nordlin Ehitus and construction has been finished. The Sponsor has so far financed the construction and preparatory work of the building from the equity capital and Crowdestate investors have funded EUR  950,000 in the first and second rounds.

The remaining funds are financed by a bank loan of 250 000 EUR (already disbursed) and by the crowdfunding loan for 500 000 EUR (divided into separate fundraising tranches). Investors expected return (IRR) is 11. 47% on an annual basis and the repayment date for the loan is expected for March 2021. Additional fundraising tranches will be launched based on the progress of construction work, starting from January 2020. The Sponsor has the option of repaying the loan in advance, and not proceeding with the future fund-raising tranches, should the sales of the villas proceed faster than planned. The investment duration is expected to be up to 15 months. The Sponsor has committed to quarterly interest payments. The loan is secured by a commercial pledge on company shares in addition to a personal guarantee of the owner for a value of 200 000 EUR.

The Sponsor has already invested EUR 10 million and there is yet to meet the investment commitment of EUR 1. 2 million agreed with the municipality in the planning process, for which a EUR 950,000 loan is applied from Crowdestate investors.  From the first round funded by Crowdestate investors in February 2019, the Sponsor has sold 11 residential plots and the principal of the first round loan has been reduced from EUR 500,000 to EUR 209,000. Funding is provided in three parts. Current third  round funding is in amount of EUR 230,000. The investment is secured by a 3rd ranking mortgage on 106 residential plots (173,319 m2) valued at EUR 9. 05 million (excluding VAT). The balance of the first and second ranking mortgage loan is EUR 2. 9 million. LTV of the project is 39% (the ratio of mortgage-secured loan principals to value of 106 plots). In addition to the mortgage, parent company Brave Capital OÜ has issued a guarantee of EUR 200,000. Crowdestate investors' loan bears an interest rate of 15% per annum.  Interest payments are quarterly and the principal amount will be returned from the sales income of residential plots of Veskimöldre-2 - 20% from the sales value (excluding VAT) of each plot will be transferred as repayment of Crowdestate investors' loan. The investment period is up to 17 months. The expected return (IRR) on a loan with quarterly interest payments is 16. 1%. The development of Veskimöldre-2 residential area includes 167 single-family house plots, 121 row house apartments, a supermarket, dining places, health trails, schoolhouse. Residential plots are priced between EUR 90,000 and EUR 160,000 (average EUR 115,000) and average plot size is 1606 m2.

Due to the significant interest of Crowdestate investors in the Baltic Forest OÜ (X) project, the Sponsor proposes to investors to increase the maximum amount of loan in this financing round to EUR 1 486 600, of which the current loan amount of EUR 836 600 will be used to refinance the loan with a 31. 07. 2019 due date. This opportunity consists of providing an unsecured loan to Estera Development Holding OÜ (Estonia), a holding company owning land plots in three attractive locations in Riga and its metro area (Latvia).  The aim of this Project is to allow the Sponsor to partly restructure its current capital structure and to provide financing for preparing its Latvian development land holdings for construction of apartments. The Sponsor, Estera Development Holding OÜ operates through wholly owned Latvian subsidiary companies, which are owners and developers of formentioned land portfolio.  The same team has previously successfully concluded three funding campaigns through Crowdestate: Briezu 7a development project (funds returned to investors with early redemption), Mezkalna 4 development project (currently ongoing), Estera Development Makonkalns (currently ongoing). The repayment of the current loan is envisioned through sales of prepared land areas for development to new investors attracted by Estera Development before the start of construction. The Sponsor is planning to raise subordinated unsecured loans in total amount of EUR 750,000 to EUR 1,500,000 in one or several tranches. Shareholders of the Sponsor undertake to subscribe at least EUR 357,000 and up to EUR 750,000 of the total campaign amount.  The duration of this investment opportunity is 30 months with maturity date set on 31. 12. 2021. The Sponsor is entitled for an early partial or full redemption option after 12 months after settlement of the loan agreement.  Interest rate is fixed on 19% per annum, the Sponsor has committed to yearly interest payments with 12 months payment interval. The calculated internal rate of return (IRR) for this opportunity is 19,0%.

Crowdestate investors have already invested in Aurora Nova, as Crowdestate members have successfully funded Aurora Nova development project in amount of EUR 3,000,000 in total in form of unsecured loan. Also, Crowdestate's investors had an opportunity to invest in Endover’s neighbouring Aurora Park development in 2016. As the actual demand for the apartments exceeded all expectations, Crowdestate’s investors were able to exit much earlier than planned with much higher returns than anticipated. Aurora Park’s success would be one of the most prominent arguments for validating the potential demand for such living environments in Haabersti district. Crowdestate’s investors have previously invested into 12 Endover’s residential development projects - 8 of them have been exited the successfully, the remaining 4 are in various development phases.  We are pleased to offer Crowdestate’s investors an opportunity to co-invest, in the form of unsecured loan, in the next funding round of Aurora Nova residential development project. The investment opportunity is limited to EUR 500,000 only. Our new project offers investors the opportunity to participate in financing of infrastructure construction of Veskimöldre-2 residential area in the amount of 950,000 euros. In Veskimöldre-2 project, roads and communications have been built and sale of plots is in progress - 35% of plots is sold. The Sponsor has already invested EUR 10 million and there is yet to meet the investment commitment of EUR 1. 2 million agreed with the municipality in the planning process, for which a loan from Crowdestate investors is being partially financed. Funding is provided in three parts. Current second round funding is in amount of EUR 220,000. The investment is secured by a 3rd ranking mortgage on 117 residential plots (197,171 m2) valued at EUR 10. 6 million (excluding VAT). The balance of the first and second ranking mortgage loan is EUR 4 million. LTV of the project is 47% (the ratio of mortgage-secured loans to value of 117 properties). In addition to the mortgage,  parent company Brave Capital OÜ provides a guarantee of EUR 200,000. Crowdestate investors' loan bears an interest rate of 15% per annum.  Interest payments are quarterly and the principal amount will be returned from the sales income of residential plots of Veskimöldre-2 - 20% from the sales value (excluding VAT) of each plot will be transferred as repayment of Crowdestate investors' loan. The investment period is up to 22 months. The expected return (IRR) on a loan with quarterly interest payments is 16. 1%. The development of Veskimöldre-2 residential area includes 167 single-family house plots, 121 row house apartments, a supermarket, dining places, health trails, schoolhouse. Residential plots are priced between EUR 90,000 and EUR 160,000 (average EUR 115,000) and average plot size is 1606 m2.

The loan term is 8 months and interest rate is fixed on 11% per annum. Sponsor has agreed to quarterly interest payments.
